Client Materials

Work Product

Unless otherwise agreed in writing, all deliverables, creative work, strategies, and materials created by RightLime for your campaigns become your property upon full payment. We retain the right to use anonymized versions of campaign data and case studies for our portfolio and marketing purposes.

8. Service Limitations and Warranties

We strive to provide excellent service, but you acknowledge that:

  • Digital marketing results cannot be guaranteed and depend on numerous factors
  • Social media platforms may change policies or algorithms without notice
  • We are not responsible for decisions made by third-party platforms
  • Services are provided on an “as is” and “as available” basis
  • We do not guarantee uninterrupted or error-free service

9. Limitation of Liability

To the maximum extent permitted by law, RightLime shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total liability for any claims arising from our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless RightLime, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with your use of our services, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.

11. Termination

Either party may terminate the service relationship:

  • With 30 days written notice for standard services
  • Immediately if the other party breaches these Terms
  • Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you remain responsible for all outstanding fees. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

Our services may integrate with or link to third-party platforms, websites, and services including social media networks, advertising platforms, and SMS gateway providers. We are not responsible for the content, policies, or practices of these third parties. Your use of third-party services is subject to their respective terms and conditions.

13. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This obligation continues for three years after termination of services. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

14. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

  • The parties agree to first attempt to resolve the dispute through good faith negotiation
  • If negotiation fails, disputes shall be resolved through binding arbitration
  • Arbitration shall be conducted in accordance with the rules of the American Arbitration Association

17. Severability
